These Terms of Service (“Terms”) govern your access to and use of the Gitex website and service at https://gitex.dev (the “Service”), operated by Gitex.
By creating an account, starting a trial, subscribing, or using the Service, you agree to these Terms and our Privacy Policy.
1. The Service
Gitex is a software tool that:
- Fetches and indexes GitHub repository content you specify
- Generates repository overviews, onboarding guides, and related summaries
- Lets you ask AI-powered questions about the codebase, with source citations where possible
The Service is intended to help engineers understand unfamiliar codebases. It is not a substitute for human judgment, code review, security auditing, or professional advice.
2. Eligibility
You must:
- Be at least 18 years old (or the age of majority where you live)
- Have the legal capacity to enter a binding contract
- Provide accurate registration information
- Keep your account credentials secure
You may not use the Service if you are barred from doing so under applicable law.
3. Accounts
Accounts are managed through Clerk. You are responsible for all activity under your account. Notify us immediately at cardona.adrian.1029@gmail.com if you suspect unauthorized access.
We may suspend or terminate accounts that violate these Terms or pose security or abuse risks.
4. Subscriptions, trials, and billing
4.1 No free tier
Gitex does not offer a permanent free tier. Access requires an active paid subscription or an eligible trial.
4.2 Plans
Current plans (subject to change):

4.3 Free trial
Eligible new users may start a 7-day free trial. A valid payment method is required. You will not be charged until the trial ends, unless you cancel before then.
Trial limits are lower than paid plan limits (e.g., fewer connected repos and questions).
Trial restrictions:
- One trial per account
- One trial per payment card (we use card fingerprints to enforce this)
- If you have already used a trial, subsequent subscriptions bill immediately at the selected plan rate
4.4 Billing
Payments are processed by Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring monthly basis until you cancel.
Fees are quoted in US dollars unless otherwise stated. Taxes may apply.
4.5 Cancellation
You may cancel at any time through the billing portal or by contacting cardona.adrian.1029@gmail.com. Cancellation stops future charges. Access generally continues through the end of your current billing period (or trial), unless otherwise stated.
We do not provide refunds except where required by law or explicitly stated.
4.6 Plan changes
You may upgrade your plan. Upgrades may take effect immediately and may be prorated through Stripe. Downgrades, if offered, take effect at the next billing cycle unless otherwise stated.
4.7 Failed payments
If payment fails, we may suspend or terminate access until payment is resolved.
5. Acceptable use
You agree not to:
- Use the Service for unlawful purposes
- Submit repositories or content you do not have the right to access or process
- Attempt to bypass authentication, billing, rate limits, or plan quotas
- Reverse engineer, scrape, or abuse the Service or its APIs
- Upload or prompt content designed to disrupt, attack, or extract unauthorized data
- Use the Service to generate malware, spam, or harmful code
- Resell or sublicense the Service without our written permission
- Impersonate others or create accounts to evade trial or usage restrictions
We may investigate violations and take action including suspension, termination, or legal remedies.
6. GitHub repositories and third-party content
6.1 Your representations
When you submit a repository URL or connect a repository, you represent and warrant that:
- You have all necessary rights and permissions to allow Gitex to fetch, store, index, and process that repository’s contents
- Your use complies with GitHub’s Terms of Service and any applicable open-source or proprietary licenses
- For private repositories, you are authorized to grant access
6.2 Third-party services
The Service depends on third parties including GitHub, Google Gemini, Clerk, Stripe, and Convex. We are not responsible for third-party outages, rate limits, policy changes, or service interruptions.
GitHub API rate limits or access restrictions may affect ingestion and analysis.
7. AI-generated content disclaimer
Gitex uses artificial intelligence to generate answers and onboarding content.
You acknowledge and agree that:
- AI outputs may be incorrect, incomplete, outdated, or misleading
- Citations to files and line numbers are provided to help verification but are not guaranteed to be accurate
- Gitex does not provide legal, security, compliance, or professional engineering advice
- You are solely responsible for verifying outputs before relying on them or making changes to production systems
- You use AI-generated content at your own risk
8. Intellectual property
8.1 Our IP
The Service, including its software, design, branding, and documentation (excluding your content and third-party code), is owned by Gitex and its licensors. These Terms do not grant you any rights to our trademarks or branding.
8.2 Your content
You retain ownership of repositories, questions, and other content you submit.
8.3 License you grant us
To operate the Service, you grant us a worldwide, non-exclusive license to host, copy, process, transmit, display, and create derivative works (such as embeddings, summaries, and indexed chunks) from content you submit, solely to provide and improve the Service.
For public repositories, indexed content may be reused to serve other users analyzing the same repository, as described in our Privacy Policy.
8.4 Feedback
If you provide suggestions or feedback, we may use it without restriction or compensation.
9. Privacy
Our Privacy Policy explains how we collect and use information. By using the Service, you consent to those practices.
10. Service availability and changes
We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may:
- Modify, suspend, or discontinue features
- Impose or change usage limits, rate limits, or indexing depth by plan
- Perform maintenance with or without notice
We will use reasonable efforts to communicate material changes that adversely affect paid subscribers.
11. Termination
You may stop using the Service at any time and cancel your subscription.
We may suspend or terminate your access if you violate these Terms, fail to pay, or if we discontinue the Service. Upon termination:
- Your right to use the Service ends
- Provisions that by nature should survive (e.g., disclaimers, limitations of liability) will survive
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUTS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- GITEX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY
- OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless Gitex and its operators from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Content you submit
- Your violation of these Terms or third-party rights
- Your analysis of repositories you are not authorized to access
15. Dispute resolution and governing law
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.
Any dispute will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms at https://gitex.dev/terms (or equivalent) and revise the “Last updated” date. Material changes may be communicated by email or in-app notice. Continued use after changes constitutes acceptance.
17. General
- Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and Gitex regarding the Service.
- Severability: If any provision is unenforceable, the rest remains in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger or sale.
